LCA advises ACS Dobfar and the founding shareholders on the sale of a co-control stake in InfoRLife to BC Partners

Cross-border deal in the IV infusion bag sector, coordinated with Swiss, financial and tax advisors

BC Partners, a leading international investment firm, has announced that it has reached an agreement to acquire a co-control stake in the Swiss company InfoRLife SA from its founding shareholders.

Founded in 2002 as a division of ACS, InfoRLife is a B2B operator specializing in the development of regulatory dossiers and CDMO (Contract Development and Manufacturing Organization) services for the ready-to-use intravenous infusion bag market. Headquartered in Switzerland, the company offers an integrated model spanning the entire value chain, from development to manufacturing to out-licensing, and operates through three production sites located in Switzerland, Romania and Tunisia.

Demand for RTU IV infusion bags continues to grow steadily, driven by hospitals’ increasing need to adopt drug administration solutions that are safer, more efficient and more cost-effective. In partnership with ACS, BC Partners will support InfoRLife’s growth path through investments in research and development, expansion of the product pipeline, strengthening of operational excellence, and the pursuit of external growth opportunities.

The closing of the transaction is subject to antitrust and FDI approvals and is tentatively scheduled for by the end of the year. LCA assisted ACS Dobfar and the selling shareholders with a team composed of Daniele Bonvicini, Matteo Montironi and Lara Bianchini on the contractual and corporate aspects of the transaction, with support from the Zurich-based firm MLL, whose team—made up of Sergio Bortolani and Samuele Celio—handled the contractual and corporate aspects under Swiss law.

On the financial and commercial side, ACS Dobfar and the selling shareholders were assisted by financial advisor Alira Health, represented by Gabriele Brambilla, Filippo Pendin and Andrea Rampolla.

Tremonti Partners, with a team led by Antonio Vitali, advised ACS and the sellers on the Italian tax aspects of the transaction.
