LCA Studio Legale advised YK Robotics, an Italian company that develops software solutions for robotics, on the cross-border reorganization that led to the establishment in Spain of a new company that also serves as a holding company. Concurrently, a €1 million investment round was closed.
The transaction, coordinated between Italy and Spain, involved the formation of the Spanish company YK Robotics. This company acquired from the founding shareholders, key personnel, and other stakeholders all positions held in the Italian company—both as shareholders and as holders of convertible securities—thereby becoming its sole shareholder. The newco then raised capital from new investors, including Draper B1, First Drop, BStartup (Banco Sabadell), Coben Ventures, and Elephant Capital.
Lca Studio Legale advised YK Robotics on the cross-border legal, corporate, and tax matters related to the change of jurisdiction and the rollover of shares. The multidisciplinary team was led by Stefano Giannone Codiglione. Alessandro Iustulin and Veronica Scuro handled the corporate and M&A aspects, while Thomas Yang and Annalisa Gobbo managed the tax matters.
For corporate matters, YK Robotics also relied on the support of Studio Emme Emme, through collaboration with Marcello Marzano.
The aspects of the transaction relating to Spanish law were primarily handled by Tangram Legal, with a team led by Sara Mirabete, on behalf of YK Robotics. Company Legal, with a team led by Elena Company, advised the investors in the round.
