Tomaso advises on Corporate and Commercial Law and, in particular, assists companies – including listed and/or regulated entities – in extraordinary transactions as well as in their day-to-day operations.
He regularly advises on share and asset deals, mergers, demergers, joint ventures and strategic agreements. In the context of M&A transactions, Tomaso pays particular attention to the performance and coordination of legal due diligence activities, which are preliminary to the negotiation and drafting of the relevant transactional documentation.
Tomaso assists clients in the selection and development – also at group level – of corporate governance structures (articles of association, shareholders’ agreements, internal corporate regulations), in the negotiation and drafting of commercial contracts (service agreements, distribution agreements, sale of goods), and in internal corporate and legal matters (legal opinions; shareholders’, board and committee minutes; ESG and compliance).
He also advises third sector entities on their internal operations and external activities, and assists family offices in their general activities as well as in generational transition matters.
Admitted to the Special Register of Lawyers before the Italian Supreme Court and Higher Jurisdictions, Tomaso has been a partner at LCA Studio Legale since 2023.
Prior to that, he worked for 25 years at another leading law firm, where he also served as Head of the New York office (for 4 years) and as Managing Partner (for 7 years).
