LCA assisted Iamet S.r.l. in the acquisition, through the newly established vehicle IMT6.26 S.r.l., of the entire share capital of Tormatic S.r.l., supporting the acquirer in all aspects of the M&A transaction and the financing functional to it.
Tormatic, headquartered in San Severino Marche, operates in the production and sale of precision turned mechanical components for the hydraulic, automotive, and industrial sectors. With this transaction, Iamet continues its growth path in the industrial sector, strengthening the group’s expertise in mechanical processing and expanding its presence in high-tech segments.
The LCA team was led by partner Nicola Maffioletti, together with Gianmarco Corradi and Carolina Cominardi for the corporate/M&A aspects, and by partner Umberto Piattelli, together with Sofia Caruso, for the aspects relating to the financing arranged for the acquisition of the target company.
Swiss Merchant Capital, an investment holding company and shareholder of IAMET, coordinated the transaction with a team composed of director Vittorio Croci and associate Federico Pigretti. The sellers were assisted on legal matters by Picarelli & Partners, with a team composed of Gennaro Picarelli, Leonardo Spadolini and Marika Mengoni. DealBiz S.r.l. acted as financial advisor to the sellers, assisting them in structuring and negotiating the transaction, with a team coordinated by Pierluigi Milantoni.
