Protos, a portfolio company of the HIG Capital fund, has completed the acquisition of Hydea, an engineering and technical consulting company based in Florence with offices in Beijing and Riyadh. As part of the transaction, Hydea’s management reinvested in the company, ensuring operational and entrepreneurial continuity. The acquisition was financed with the support of Capza, a pan-European private capital platform controlled by BNP Paribas AM with offices in Milan.
The acquisition of Hydea strengthens the group’s Advisory & Consulting Engineering division, expanding its expertise across the entire lifecycle of projects, from planning and design to construction supervision, project management and technical assistance.
Founded in 1990, Hydea operates in the fields of civil engineering, protection and enhancement of cultural and archaeological heritage, infrastructure engineering, and environmental and circular economy consulting, providing design, studies, project management, construction supervision and technical consulting services to public and private clients in Italy and abroad. The acquisition represents a further step in Protos’s external growth path.
The sellers and management were advised by LCA Studio Legale, with a team led by partner Riccardo Sismondi and composed of Mario Niggeler and Carolina Vittoria Cominardi for corporate and M&A matters, as well as partner Ranieri Romani and Giulia Maria Bellone for labour law matters. The sellers’ advisory team was completed by Scouting Capital Advisors for financial and M&A advisory matters.
The purchaser was assisted by law firm Pavia e Ansaldo, with a team coordinated by partner Alberto Bianco and composed of Erica Lepore, Arianna Bellani and Elena Giliberti for corporate and M&A matters, and partner Francesco Vitella for labour law matters. Spada Partners also acted, with a team composed of partner Guido Sazbon, Francesco Podagrosi and Filippo Carniglia handling tax due diligence, while a team formed by partner Stefano Marchetti and Mara Lorusso handled financial due diligence.
ADVANT Nctm, with a team coordinated by Giovanni de Capitani di Vimercate and Bianca Macrina, together with Letizia Grandi, advised on the banking aspects related to the financing.
