Impresoft, an Italian group active in the enterprise software and technology consulting market, controlled by Clessidra Private Equity, and Lodestar, an Italian group focused on the Microsoft ecosystem that supports organizations in their digital transformation and AI adoption journeys, controlled by Renaissance Partners, have announced that they have reached an agreement for the transfer of 4ward \u2013 a company specializing in AI infrastructure and cybersecurity \u2013 from Impresoft to the Lodestar Group.<\/p>\n
The transaction is part of Impresoft’s strategic evolution path, as the Group intends to focus resources and investments on its priority growth areas \u2013 proprietary software, digital transformation consulting and AI-based solutions \u2013 while also leveraging 4ward’s industrial fit with the Lodestar platform.<\/p>\n
LCA advised Impresoft and Clessidra on the transactional aspects, with a team composed of Benedetto Lonato, Riccardo Massimilla, Virginia Cella and Laura Scarola, as well as Giuseppe Serenelli, Emilio Barozzi, Chiara Petricone, Giancarlo Aiello, Francesca Rucco, Lorenzo Vassalli, Giulia Maria Bellone, Arianna Basso, Alessandro Mariotti, Giovanni Bernardelli and Carola Corini for the vendor due diligence activities.<\/p>\n
For the financing aspects, Impresoft and Clessidra were assisted by the international law firm White & Case, with a team composed of partners Stefano Bellani and Luca Maffia and associates Nicola Tosin and Amedeo Bardelli, all from the Milan office.<\/p>\n
Lodestar and Renaissance Partners were assisted by Gatti Pavesi Bianchi Ludovici for the legal aspects, with a team led by equity partner Gianni Martoglia, assisted by partner Silvia Palazzetti, managing associate Marco Malesci, and associates Fernanda Mottura, Andrea Garbarino, Sabrina Marino and Costanza Ettorre.
